1. Description of Service

Img2Sound is an online tool that converts images and text into audio files. The resulting audio files contain spectrograms — visual representations embedded in audio frequencies — that reproduce the uploaded image or text when viewed in a spectrogram analyzer. Users upload content, select frequency settings, and receive downloadable WAV audio files.

2. User Accounts

To use our services, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Providing accurate, current, and complete information during registration
• Notifying us immediately of any unauthorized use of your account

3. Credits and Payment

Img2Sound operates on a credit-based system:

• Credits are non-refundable and non-transferable
• Unused credits do not expire unless your account is terminated

All prices are listed in U.S. dollars. Payment is processed securely through Stripe, our third-party payment processor. We do not store your credit card number, CVV, or full payment details on our servers. By making a purchase, you agree to Stripe's Terms of Service.

All purchases of credits are final. Due to the nature of digital goods and the immediate availability of purchased credits, we do not offer refunds on credit purchases.

4. Your Content and Uploads

4.1 Ownership

You retain full ownership of all images and text you upload to Img2Sound. By uploading content, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the conversion service.

4.2 Your Representations

By uploading content, you represent and warrant that:

• You own the content or have obtained all necessary rights, licenses, and permissions to use it
• Your content does not infringe on any third party's intellectual property rights, including copyrights, trademarks, or trade secrets
• Your content does not contain illegal, obscene, defamatory, or harmful material
• Your content does not violate any applicable law or regulation

4.3 No AI Training

We do not use your uploaded files to train artificial intelligence models. Your uploads are processed solely to generate the requested audio output and are not shared with, sold to, or accessed by any third party.

4.4 File Retention

Uploaded files and generated audio files are retained on our servers for a limited period to allow you to access and download your conversions. Files may be automatically deleted after the retention period. We recommend downloading your output files promptly after conversion.

5. Output Files and Commercial Rights

You receive a perpetual, worldwide, non-exclusive license to use, modify, reproduce, and distribute any audio files generated by Img2Sound from your uploads. This includes the right to use generated audio files in:

• Released music, albums, and singles
• Videos, films, and podcasts
• Live performances and broadcasts
• Commercial projects and products

No attribution to Img2Sound is required when using generated audio files.

6. Intellectual Property

All content on the Img2Sound website, including text, graphics, logos, software, audio processing algorithms, and user interface designs, is the property of Luxaris Digital or its licensors and is protected by applicable intellectual property laws.

You receive a limited, non-exclusive, non-transferable, revocable license to access and use the service for its intended purpose. This license does not grant you any rights to our underlying technology, algorithms, or intellectual property beyond the output files described in Section 5.

7. DMCA and Copyright Claims

We respect the intellectual property rights of others. If you believe that content on Img2Sound infringes your copyright, you may submit a Digital Millennium Copyright Act (DMCA) takedown notice to:

• Any unused credits in your account are forfeited
• We may delete your account data, uploaded files, and generated audio files

Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that:

• The service will meet your specific requirements
• Audio conversions will be error-free or produce a specific quality level
• The service will be uninterrupted, timely, or secure
• Generated audio files will be compatible with all spectrogram viewers or audio software

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUXARIS DIGITAL AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data, uploaded files, or generated audio files
• Loss of revenue, profits, or business opportunities
• Service interruptions or downtime
• Errors in audio conversion or output quality
• Unauthorized access to your account

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Luxaris Digital and its owners, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Content you upload to our service
• Your violation of these Terms
• Your violation of any third party's rights, including intellectual property rights

14. Dispute Resolution
